TERMS OF USE

1. Acceptance of Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and GSK Solutions Inc. (“GSK Solutions,” “we,” “us,” or “our”), a Texas corporation with offices at 633 E Fernhurst Drive, Suite 1002, Katy, Texas 77450.

By accessing or using the website located at gsksolutions.com (the “Site”) or any services offered through the Site, you agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must discontinue use of the Site immediately.

These Terms apply to all visitors, job seekers, candidates, client representatives, and any other users of the Site. For services governed by a separate Master Services Agreement (MSA) or Staffing Services Agreement, these Terms supplement — but do not supersede — those agreements.

2. Description of Services

GSK Solutions Inc. provides IT staffing, healthcare staffing, IT consulting, managed services, and related professional services to government and commercial clients.

The Site serves as an informational and contact platform for:

  • Prospective and current clients seeking staffing or consulting services
  • Job seekers and candidates exploring employment or placement opportunities
  • Individuals submitting referrals through our Refer-a-Friend program
  • Any person seeking general information about GSK Solutions Inc.

Actual service engagements (consulting, staffing placements, managed services) are governed by separate written agreements.

Nothing on this Site constitutes an offer to enter into any service contract.

3. Permitted & Prohibited Use

Permitted Use:

You may access and use the Site for lawful purposes, including reviewing our services, submitting inquiries, applying for positions, and referring candidates, in accordance with these Terms.

Prohibited Use:

You agree not to:

  • Use the Site in any manner that violates applicable local, state, federal, or international laws or regulations
  • Scrape, crawl, or extract data from the Site using automated tools without our express written consent
  • Submit false, misleading, or fraudulent information in any form or application
  • Attempt to gain unauthorized access to our systems, servers, or networks
  • Transmit any malware, viruses, Trojan horses, or other harmful code
  • Impersonate any person or entity, or falsely represent your affiliation with any entity
  • Use the Site to harvest contact information for unsolicited commercial communications (spam)
  • Interfere with or disrupt the integrity or performance of the Site
  • Engage in any conduct that restricts or inhibits any other user’s use or enjoyment of the Site

We reserve the right to terminate your access to the Site immediately and without notice for any violation of these provisions.

4. Intellectual Property Rights

All content on this Site — including but not limited to text, graphics, logos, icons, images, service descriptions, methodologies, trade names, and software — is the exclusive property of GSK Solutions Inc. or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for the personal, non-commercial purposes described herein.

This license does not include:

  • Any resale or commercial use of the Site or its content
  • Collection or use of any product listings, descriptions, or prices
  • Any derivative use of the Site or its content
  • Any downloading or copying of account information for the benefit of another party

The GSK Solutions Inc. name, logo, and all related marks are registered or unregistered trademarks of GSK Solutions Inc. You may not use any of our trademarks without our prior written consent.

Any feedback, suggestions, or ideas you submit to us regarding the Site or our services may be used by GSK Solutions without restriction or compensation to you.

5. Candidate Submissions & Representations

By submitting a resume, application, or profile through our Site, you represent and warrant that:

  • All information provided is true, accurate, current, and complete to the best of your knowledge
  • You are legally authorized to work in the jurisdiction where you are seeking placement
  • You are not bound by any non-compete, non-solicitation, or confidentiality agreement that would prevent you from being placed with our clients
  • You consent to GSK Solutions sharing your submitted information with relevant client companies for placement consideration
  • You authorize GSK Solutions to conduct background, reference, and credential verification checks as required by clients or law

GSK Solutions does not guarantee placement or employment.

Submission of materials does not create an employment relationship between you and GSK Solutions.

6. Third-Party Links & Content

Our Site may contain links to third-party websites, platforms, or resources (including client websites such as Johnson & Johnson, Mohawk Industries, and state government portals). These links are provided solely for your convenience and informational purposes.

GSK Solutions Inc. has no control over the content, privacy practices, or terms of third-party sites, and we make no representations or warranties regarding them.

Your use of any third-party site is governed by that site’s own terms and policies.

We strongly encourage you to review the privacy policy of any site you visit.

Linking to third-party sites does not constitute an endorsement, sponsorship, or recommendation by GSK Solutions.

7. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, GSK SOLUTIONS INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, including but not limited to:

  • IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, in no event shall GSK SOLUTIONS INC., its officers, directors, employees, agents, or affiliates be liable for any:

  • Indirect
  • Incidental
  • Special
  • Consequential
  • Punitive
  • Exemplary damages

arising out of or in connection with:

  • Your use of, or inability to use, the Site or its content
  • Unauthorized access to or alteration of your submissions or data
  • Any third-party content or conduct on or through the Site
  • Any errors or omissions in the Site’s content

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF:

  • (A) $100 USD
  • (B) The amount paid by you to GSK Solutions, if any, in the twelve (12) months preceding the claim

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless GSK Solutions Inc. and its officers, directors, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use of or access to the Site
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any false or misleading information you submit through the Site
  • Your infringement of any third-party right, including intellectual property rights

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with our defense.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law provisions.

Informal Resolution:
Before initiating any formal dispute, you agree to contact us at legal@gsksolutions.com and provide a written description of the dispute. We will attempt to resolve the matter informally within 30 days.

Binding Arbitration:
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall be conducted in Harris County, Texas. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver:
You agree that any arbitration or legal proceeding shall be conducted solely on an individual basis. You waive any right to participate in any class, collective, or representative action.

Exceptions:
Either party may seek injunctive or equitable relief in a court of competent jurisdiction in Harris County, Texas for matters involving intellectual property infringement or imminent harm.

11. Modifications to the Site & Terms

GSK Solutions Inc. reserves the right to modify, suspend, or discontinue the Site or any part thereof at any time and without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Site.

We may revise these Terms at any time. The most current version will always be posted on the Site with an updated “Effective Date.” Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.

12. Miscellaneous

Entire Agreement:
These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and GSK Solutions Inc. regarding your use of the Site and supersede all prior agreements and understandings.

Severability:
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

Waiver:
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment:
You may not assign your rights or obligations under these Terms without our prior written consent. GSK Solutions may assign its rights without restriction.

Force Majeure:
GSK Solutions shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemics, or government actions.

Legal notices sent by email are effective upon confirmed receipt. Notices by mail are effective three (3) business days after mailing by certified mail, return receipt requested.
